Private Credit in Acquisition Finance — Global Perspectives and Emerging Opportunities.

Provide a high level, practitioner led discussion on how private credit and banks are approaching acquisition finance across markets, using India’s recent policy changes as a timely case study. The session will focus on each speaker’s perspective: a private credit fund’s strategy and competition/co operation with banks, a global bank’s appetite and constraints in the new regime, and Indian as well as Swiss/European legal lens on cross border considerations. The aim is to contrast market opportunities, explore cross border challenges, policy shifts by the regulator and have a high level conversation on how private credit and banks will shape acquisition finance in the coming year, with India’s policy shift as a relevant example.

Shubhangi Garg is a Partner at the Firm and specialises in Banking and Finance, Capital Markets and FinTech.

She has extensive experience in advising issuers and banks on Reg S/144A bonds, GMTNs / MTN programmes, syndicated loans, foreign currency financing and convertible loans, sponsor backed finance, acquisition finance and corporate finance for both listed and unlisted Indian companies, debt investments by foreign portfolio investors via listed and unlisted NCDs, and debt finance by InvITs and REITs. She also has extensive experience in advising on private equity and foreign direct investment in the FinTech and payments space and routinely advises Indian and international corporates on the regulatory framework governing digital payment products and lending products in India.

Shubhangi was recognised as one of India’s top 40 lawyers by Business World’s BW Legal World 40 Under 40 Awards in 2020, as India’s Rising Star in the Banking and Finance Space by Asian Legal Business, 2019. She has been recognised as a ‘Notable Practitioner’ in Banking & Finance and Debt Capital Markets by IFLR1000 in 2022 and 2024-25. She has been ranked as a ‘Leading Partner’ for Banking & Finance by Legal 500, 2025-26. She has also been recently recognised as ‘Notable Practitioner’ by asialaw in 2025.

Nikita Sinha, in her capacity as Associate General Counsel, heads the legal function for PAG Investment Manager Private Limited in India. She is a seasoned debt lawyer with more than 15 years of work experience, with a special focus on private credit, special situations, distressed debt, projects and infrastructure financing and insolvency related work.

Prior to joining PAG, she has worked with several Tier 1 law firms in India, including AZB & Partners and Cyril Amarchand Mangaldas. Her core competencies include real estate finance, structured finance, portfolio management, stressed assets resolution and commercial litigation.  She is also actively involved in  transaction and litigation management, fund formation, fund raising and deployment of funds, including recovery of investments and exit strategies.

Before joining Standard Chartered Bank, Namrata spent nearly seven years at ICICI Bank, where she managed relationships with large corporates across multiple sectors. Over the course of her career, she has built deep expertise in delivering integrated banking solutions, facilitating complex transactions, and driving long-term client partnerships that contribute to strategic business growth.

At Standard Chartered, she collaborates closely with cross-functional stakeholders to deliver innovative and adaptable financial solutions in an evolving global market environment. She is also actively involved in the bank’s Corporate Social Responsibility (CSR) and Diversity & Inclusion (D&I) initiatives in India.

Stéphane Karolczuk is a partner of our Funds & Asset Management and Regulatory teams based in Hong Kong. He has extensive experience advising clients across the Asia-Pacific region on a variety of investment fund legal and regulatory matters.

Stéphane provides comprehensive guidance on all aspects of investment funds, including structuring, registration, marketing, offering and listing of investment funds, across the range of private equity, real estate, private debt and credit, hedge funds, and generally all alternative Luxembourg and foreign investment funds

His expertise encompasses the selection and establishment of investment structures, drafting of contractual and marketing documentation, and liaison with key regulatory bodies, including the Luxembourg Commission de Surveillance du Secteur Financier (CSSF) and the Luxembourg Stock Exchange. Stéphane looks after mutual funds clients (UCITS) and their needs in the EU and APAC region.

Stéphane also specialises in strategies involving investments in the APAC region, as well as the distribution of funds in the EU and APAC region. He was instrumental in having Luxembourg investment vehicles make use of channels to access the PRC capital markets (QFII, RQFII, Stock Connect, Bond Connect, QDII, QDII2, QDIE, QDLP, etc).

Before joining Harneys in 2025, Stéphane was a partner of a leading Luxembourg law firm based in Hong Kong. His journey began in Luxembourg, followed by a secondment to the firm’s New York office, where he led an Investment Management Helpdesk assisting US clients with their Luxembourg investment fund queries. He later set up the firm’s Hong Kong office and led its Asian strategy for 15 years, further expanding his expertise in cross-border investment fund matters.

Stéphane has taken part in the activities of the Association of the Luxembourg Fund Industry (ALFI), the Hong Kong Investment Funds Association (HKIFA), the Hong Kong Private Equity and Venture Capital Association (HKVCA), and he is regularly invited to speak on investment management related topics at conferences in the region. He is co-chair of the Banking Finance and Securities Committee of the Inter-Pacific Bar Association (IPBA).
